Rabia Choudri is the Founder and Managing Partner of R&A Legal Solutions, a boutique law firm based in Dubai. A British-qualified lawyer with over 20 years’ experience across the UK, UAE, the Caribbean and wider regions, she advises on high-value corporate transactions, major infrastructure and complex construction projects across a range of sectors.

Rabia is a highly experienced construction and projects lawyer with a strong track record advising on large-scale, technically complex developments in the Middle East and Africa. Her work spans major infrastructure, mixed-use, commercial, hospitality and industrial projects, including stadiums, oil and gas facilities, transport-related infrastructure as well as multi-phase master-planned developments. She regularly leads the drafting and negotiation of enabling works, infrastructure and main construction contracts, consultant appointments and ancillary project documentation, often under bespoke and FIDIC-based forms, including EPC and turnkey arrangements.

She acts for developers, government-related entities, family offices and private investors throughout the full project lifecycle, from early-stage structuring, procurement strategy and tendering through to execution, delivery and operational handover. Rabia is particularly known for managing complex interface risk, phased construction programmes and cross-border regulatory environments, delivering commercially robust contractual solutions that protect value, manage risk and support timely project delivery.

Alongside her construction practice, Rabia also advises on hospitality and mixed-use developments where these form part of wider infrastructure or real estate projects. Her experience includes negotiating hotel management agreements, technical services agreements, concession arrangements and related documentation in support of integrated developments in the UAE and internationally.

Experience Highlights

Rabia’s experience includes:

  • Advising on a 50-hectare mixed-use development in Al Ain, valued in excess of USD 550 million, comprising a football stadium, hotel, offices and commercial, retail and residential plots. Her work included drafting piling and enabling works contracts, infrastructure contracts and main construction contracts for each phase, together with appointment agreements and ancillary documentation.
  • Drafting and negotiating bespoke FIDIC-based construction contracts for infrastructure and hospitality projects in North Africa with a combined value exceeding USD 900 million.
  • Drafting a bespoke construction contract for an oil refinery in South Sudan, incorporating the FIDIC EPC/Turnkey Conditions of Contract and elements of the UNCITRAL Rules.
  • Representing a major oil company in relation to the construction of a new tanker berth at Jebel Ali Free Zone, worth in excess of USD 20 million, including negotiating the development agreement, preparing a FIDIC-based building contract and drafting consultant appointment agreements and related contracts.
  • Acting on hotel developments and operational arrangements across the UAE, UK and Caribbean, including hotel management agreements, technical services agreements, key money agreements, retail and F&B concessions and related documentation.
  • Acting for a leading UAE family group on hotel-related agreements, including hotel management agreements, novation and assignment agreements and termination arrangements for hotel assets with a combined value exceeding USD 300 million.
  • Advising on the Marasi Business Bay development in Dubai, including bespoke construction contract terms and subsequent sale and purchase documentation for hospitality and mixed-use components.
